The State Securities Commission has just fined FLC Group for not disclosing many documents, including bond-related reports, especially the use of issued capital.
Specifically, FLC Group Joint Stock Company (code FLC) was fined 92.5 million VND for not disclosing the following documents: Report on the use of capital from bond issuance in 2020 and 2022; semi-annual financial reports for 2023 and 2020, 2021, 2022; Bond interest and principal payment situation in 2020; the implementation of commitments of the issuing enterprise to holders of semi-annual bonds in 2023 and 2022; financial report for the third and fourth quarters of 2023; 2023 financial statements have been audited.

FLC also announced on time the following documents: Report on the use of capital from the 2022 semi-annual bond issuance; situation of using proceeds from bond issuance for outstanding bonds audited by qualified auditing organizations semi-annually in 2023; 2022 semi-annual financial report; situation of payment of interest and principal of semi-annual bonds in 2022 and 2023; Board of Directors resolution approving Ms. Vo Thi Thuy Duong’s request to resign from the position of Deputy General Director.
Also because of information disclosure errors, Saigon Investment and Development Joint Stock Company (code SID) was also fined 92.5 million VND for not disclosing the following documents: Report on the use of proceeds from the issuance. Bonds for outstanding bonds are audited by qualified auditing organizations in 2022 and semi-annual 2023.
The company also sent information disclosure content to the Hanoi Stock Exchange on time for the following documents: Report on the use of capital from bond issuance in 2021; semi-annual financial reports 2022, 2021; Bond interest and principal payment situation in 2021.
Another enterprise, Saigon – Quy Nhon Minerals Joint Stock Company (code SQC), was fined 92.5 million VND also for violating information disclosure. SQC does not publish information on the system of the State Securities Commission and Hanoi Stock Exchange for documents: Audited financial statements for 2023; 2023 annual report.
The company also announced the following documents on time: The 2023 semi-annual financial report has been reviewed; semi-annual corporate governance report in 2023; meeting invitation notice and documents for the 2023 annual general meeting of shareholders; some board resolutions in 2022, 2023.
